Nonprofit Law

We leverage technology to provide access to affordable, quality, attorney-drafted legal documents bundled with legal advice for a fixed price. We provide Illinois and Missouri-specific documents for nonprofits, including nonprofit formation, registration with the Attorney General, drafting Bylaws and initial resolutions, filing for 501(c)(3) status, and ongoing advice and counsel.

There are no hidden costs or additional fees. If you need a document or agreement that is not listed on the website, contact us, and we will provide you with a flat-rate price to draft it.

We also offer traditional legal services that we bill on a fixed-fee basis per project or by the hour, depending on the matter.

Nonprofit Corporation Formation Package
This package includes a meeting to discuss your nonprofit. After the meeting, we will handle all the necessary paperwork, including preparing and filing the Articles of Incorporation with the Secretary of State and drafting the Bylaws and initial meeting minutes. We will also assist you in obtaining the tax ID and prepare initial corporate resolutions as needed. We will complete Forms CO-1 and CO-2 for your first filing with the Attorney General. This comprehensive package includes everything in the basic Formation package, plus we will file for your IRS 501(c)(3) exemption. Draft Nonprofit Corporation Bylaws
The Bylaws govern the way a nonprofit corporation conducts its business. It discusses the nonprofit’s purpose, the makeup of the board of directors, how officers are named and compensated, and when the Board of Directors meets. We will conduct a meeting to discuss the components of the Bylaws. After the meeting, we will draft the Bylaws, confirm that they meet your approval, and send them electronically for signature or provide you with a PDF of the final document. File for 501(c)(3) Exemption (1023-EZ)
A nonprofit corporation must apply to the IRS for 501(c)(3) exemption to obtain tax exemption from sales tax and other taxes. Typically, the best time to file for this exemption is soon after registering your nonprofit corporation with the State of Illinois. If you file when you are just starting your nonprofit, your assets and expected revenue will be low enough to allow the filing of the 1023-EZ form. We will provide you with a questionnaire to obtain the answers to fill out the application and a list of necessary documents. If needed, we will schedule a meeting to discuss. File for 501(c)(3) Exemption (1023)
If your nonprofit has assets that exceed $250,000 or annual gross receipts that exceed $50,000, then we will need to file the 1023 form. This is a longer, more complex form than the 1023-EZ. We will provide you with a questionnaire to obtain the answers so you can complete the application. We will also give you a list of documents we will need to complete the application. If required, we will schedule a meeting to discuss. Once we have the answers and needed corporate documents, we will complete the application on behalf of the organization. Draft Volunteer Handbook and Volunteer Agreement
The Volunteer Handbook is an essential document for any nonprofit that has volunteers. Your nonprofit should also have a Volunteer Agreement to formalize the relationship and expectations. After you complete our Volunteer Handbook questionnaire, we will schedule a meeting to discuss your nonprofit and its needs. After the meeting, we will draft the Volunteer Handbook, policies, and agreement, as needed, and provide it to you for review and feedback. Draft Board Conflict of Interest Policy
Every nonprofit must have a Conflict of Interest Policy for its Board members. Each Board member must sign and acknowledge this Policy when they first begin serving on the Board, and it should be reviewed and signed annually by all Board members. Registered Agent Services
Act as your corporation’s or LLC's Illinois registered agent, accept service if your nonprofit is served with a lawsuit, and give limited legal advice. A $25 fee to the Secretary of State is due with the form to change the registered agent. To get started, click here. Starting at: $150/year

Corporate Formalities and Secretary of State/Attorney General Filing Service

Registered Agent/Filing Package BEST VALUE

Basic Contract Review

Contract Revision Package
Review and note your contract, revise the client-provided Word version of the contract with the improved language, schedule a meeting to discuss, submit to you for review and approval, and conduct two subsequent revisions. *Additional revisions or communications will be billed at $200/h. Hourly Rate for Business Matters
Not all our legal work fits well within the flat-rate model. We are available for legal consultations at an hourly rate of $200. If you have a more significant legal project or need ongoing representation, we require a minimum retainer of $1000. Complex matters may require a higher retainer amount. To get started, click here.
