Business Law

We leverage technology to provide access to affordable, quality, attorney-drafted legal documents, bundled with legal advice, for a fixed price. We provide Illinois-specific documents for small businesses, including corporate formation documents, business agreements, and human resources/employment documents.

There are no hidden costs or additional fees. If you need a document or agreement that is not listed on the website, contact us and we will provide you with a flat-rate price to draft that document.

We also offer traditional legal services that we bill either on a fixed-fee basis per project or by the hour, depending on the matter.

Business Formation Package (Single-Owner)
This package includes a meeting to determine the best legal structure for your business. After the meeting, we will prepare and file the Articles of Organization or Incorporation with the Secretary of State. We will draft the Operating Agreement or Bylaws. We will assist you in obtaining the tax ID and prepare initial corporate resolutions, as needed. *State filing fees are not included in the listed price. To get started, click here. Business Formation Package (Multi-Owner)
This includes all the services in the single-owner package but for multiple owners. In addition to drafting a more complex Operating Agreement or Bylaws, this price includes drafting a Buy-Sell Agreement. (See the Buy-Sell Agreement discussed below.) Draft General Partnership Agreement
The partnership agreement documents the amount of capital each partner contributes, the method used to allocate profits and losses from the business, and the method used to distribute the assets should the business be dissolved. We will meet with all parties to discuss the legal business entity. After the meeting, we will draft the Partnership Agreement, confirm the agreement of the terms by all parties, and schedule a signing witnessed by a notary. Draft Operating Agreement (Single Member LLC)
The Operating Agreement outlines your business's financial and functional decisions, including rules, regulations, and provisions. Draft Corporate Bylaws
The Bylaws govern the way the corporation does business. It discusses the corporation's purpose, the issuances of shares, the makeup of the board of directors, how officers are named and compensated, meetings of the board of directors and shareholders, how dividends are paid, and how shares are transferred. Draft Buy-Sell Agreement
Almost every business with more than one owner should have a buy-sell agreement. A buy-sell agreement is a binding contract between you and your co-owners that controls when an owner can sell his or her interest, who can buy an owner's interest, and what price will be paid for that interest. Usually, a buy-sell agreement also allows the company and its owners to buy out an owner who has stopped working for a company or has died. This eliminates the possibility that active owners will be forced to share profits with an inactive or unsuitable new owner. We will conduct a meeting to discuss this important document. Hourly Rate for Business Matters

Not all our legal work fits well within the flat-rate model. We are available for legal consultations at an hourly rate of $200. If you have a more significant legal project or need ongoing representation, we require a minimum retainer of $1000. Complex matters may require a higher retainer amount.
